Business Formation and Planning

Business Formations, Legal Management, Sales and Acquisitions, and Succession planning for business owners and entrepreneurs

We represent entrepreneurs and established business owners with entity selection and formation, ongoing legal management and general counsel for corporations, partnerships and limited liability companies, and the purchase, sale, or succession of established businesses.  Startup clients use us to manage their corporate governance and business contract matters, and mature clients looking to sell or transfer ownership to family members or key employees engage us to efficiently change ownership in a tax effective and legally compliant manner.  For owners moving to Texas from out of state, our firm also handles the conversion of out-of-state profit and non-profit entities to Texas entities.

Entrepreneurs and Start Ups

Building a new business as an entrepreneur alone or with partners has unique legal and financial challenges.  We collaborate with your financial, bank and tax advisors to insure the entity structure you use is created correctly with future growth in mind.  Our firm manages the choice of entity, filings to organize the entities, and ongoing legal assistance as your venture grows.  Smaller firms do not have the resources to engage an in-house attorney full-time, so we take on that role in an efficient and as-needed basis for our clients until they reach a stage where in-house counsel is supportable.

Corporate Governance

We see many companies formed by others and within a short period of time the legal management of the business comes to a halt, creating potential legal, tax and other liabilities to the business and its owners.  Our firm guides you through the governance of your entity, from attendance at shareholder, member, or Board meetings, to overseeing leases, land purchases and other business contracts.  The key to corporate governance is consistency and documentation, and we provide you that support to maximize the benefits of your entity and protect the business and its owners.

Sales and Acquisitions

Selling or buying a business is a complicated process that involves extensive due diligence, tax planning and proper legal documentation.  Insuring the legal and financial documents of your business are current and accurate will increase the value of the sale of your business.  Discovering insufficient legal and financial information may lead you away from buying a risky venture, or reducing the purchase offer.  We investigate the nuances of both in detail and provide you with the necessary information to determine if a sale or acquisition is viable, and then draft the legal documents required to accurately conclude the transaction.

Conversions and Mergers

Many clients come to our office with an issue that can be resolved by converting their existing entity into a different one, or through the merger of two distinct entities into one entity.  These often arise in the context of overlapping family businesses and where two separate and distinct businesses are merging for better market and financial development.  As many people move to Texas, conversions also arise heavily in the context of businesses who move their main offices to Texas from out of state and converting to a Texas entity is the best solution.  We assist our clients throughout the process and insure the resulting conversion or merger is in your best interest and what you had expected after the deal is closed.
